A set of standardized, publicly available term sheet and definitive financing document templates published by the National Venture Capital Association, widely used as the starting point for priced venture rounds so both sides negotiate deviations from a known baseline rather than drafting from scratch.

Why does NVCA Model Financing Documents matter?

Using a known standard template lowers legal cost and negotiation time, because both sides' counsel already know what the baseline document says and can focus entirely on the handful of terms that actually deviate from it. Because the founder's counsel already knows the unmarked baseline language, the entire legal review focuses on the several clauses that actually deviate from standard, a two-day review instead of a two-week one, with negotiation energy spent on terms that are genuinely unusual rather than re-litigating boilerplate identical to what every other venture deal uses.

What are the common mistakes with NVCA Model Financing Documents?

  • Not knowing the NVCA model documents exist as a reference baseline, and therefore having no quick way to tell which term sheet provisions are market-standard versus unusually founder-unfriendly.
  • Accepting a term sheet drafted entirely from scratch by unfamiliar counsel without asking why it is not based on the standard templates, adding cost and negotiation time for no clear benefit.
  • Assuming "standard" means "fixed", NVCA documents are a starting point for negotiation, not terms a founder is obligated to accept unchanged.
  • Treating legal review of financing documents as unnecessary because they are "just the standard template," when even standard documents contain terms worth understanding before signing.

Where the term comes from

In December 2003 the National Venture Capital Association published a set of model documents covering the charter, stock purchase agreement, investors' rights agreement, right of first refusal and co-sale agreement, and voting agreement, giving the industry a shared baseline where firms had previously relied on their own precedents. The goal was to move negotiation off the boilerplate and onto the terms that actually differ.
